Board of Directors

The Board of Directors provides strategic oversight, governance, and long-term guidance for SUIG. Drawing on deep experience across finance, technology, and capital markets, the board works closely with management to support sustainable growth, strong risk management, and alignment with shareholder interests.

Marius Barnett

Chairman

Marius Barnett (Chairman) is a co-founder of Karatage, a principal investing business in the blockchain and deep tech sector. Mr Barnett is an experienced principal investor, operator and board executive based in London who has identified and grown real estate, technology and early-stage venture capital businesses both organically and through strategic M&A to create high value profitable platforms including RN3, a pan-European logistics real estate investment fund launched in 2024.

Previously, Mr. Barnett joined Glencore International in 2007 where he led operational, trading and acquisition activities as CEO of Glencore's Southeast Asia platform until the end of 2014.

Marius holds a BSc in Actuarial Science and Mathematical Statistics from the University of Witwatersrand, South Africa.

Douglas M. Polinsky

CEO and Director

Douglas M. Polinsky (Chief Executive Officer and Director) co-founded the Sui Group Holdings in January 2006 and since that time has been the Chairman and Chief Executive Officer. Since 1994, Mr. Polinsky has been the President of Great North Capital Consultants, Inc., a financial advisory and investment company that he founded. Great North Capital Consultants, Inc. primarily engages in the business of investing in hard money lending with collateral on the loans being first or second mortgages in both residential and commercial properties. In addition, Great North Capital Consultants, Inc. makes direct investments into public and private companies. From 2015 until 2024, Mr. Polinsky served as an independent director of Liberated Syndication, Inc., a Nevada corporation with its podcast-publishing operations in Pennsylvania, as well as that board's audit and compensation committees. Mr. Polinsky earned a Bachelor of Science degree in hotel administration at the University of Nevada, Las Vegas in 1981.

Dana Wagner

Independent Director

Dana Wagner is a member of the board at Sui Group Holdings. A lawyer by training, Wagner has served in a variety of senior-level roles across private-sector technology firms and in the U.S. federal government.

Most recently, Wagner was Chief Legal Officer and Corporate Secretary at Twilio (NYSE: TWLO), a leading cloud communications platform. He previously served as Chief Legal Officer and Corporate Secretary at Impossible Foods and, before that, as General Counsel and Corporate Secretary at Square (now, Block), where he led the company through a successful IPO.

Before entering the private sector, Wagner held a variety of senior-level government roles, including Assistant U.S. Attorney for the Northern District of California and trial attorney in the Antitrust Division at the U.S. Department of Justice.

Wagner currently serves on the Board of Managers for Coinbase Custody Trust Company—the institutional arm of the publicly traded crypto exchange. He is also a council member at Earthjustice, a non-profit public interest law organization.

Based in San Francisco, he holds a B.A. from UC Berkeley and J.D. from Yale Law School.

Howard Liszt

Independent Director

Howard P. Liszt (Director) served as Chief Executive Officer of Campbell Mithun, a national marketing communications agency he joined in 1976, and served there until 2001. Under his leadership, Campbell Mithun grew to be one of the 20 largest agencies in the world. From 2002 until 2014, Mr. Liszt served as Chairman of Olson, a leading independent digital agency. Mr. Liszt has served as a board member for several industry-leading companies including Land O' Lakes, ShuffleMaster, Ocular Sciences, Coleman Natural Foods, and Eggland's Best. Mr. Liszt holds a Bachelor of Arts in Journalism and Marketing, and a Masters of Science in Marketing from the University of Minnesota, Minneapolis.

Brian Quitenz

Independent Director

Brian D. Quintenz is a current Board Chair Board Director, and Advisor to some of the most innovative and exciting companies in finance and technology. He was the former Head of Policy for a16z crypto, the crypto venture funds of Andreessen Horowitz. He has worked globally to construct appropriately calibrated regulatory crypto frameworks which both protect consumers and respect the innovation of decentralization.

Previously, Quintenz was nominated by both Presidents Obama and Trump to be a Commissioner of the U.S. Commodity Futures Trading Commission, was unanimously confirmed by the Senate on August 3, 2017, and was sworn into office on August 15, 2017 for the remainder of a five-year term expiring in April 15, 2020.

His speeches, public comments, and areas of interest at the CFTC have centered around market risk, appropriately calibrated capital standards, FinTech (including Bitcoin futures, DLT, cyber security, and automated trading), and international harmonization of derivatives regulations.

Kristina Campbell

Independent Director

Ms. Campbell brings over 20 years of experience in the fintech, digital payments, and digital asset sectors. Her principal occupation and employment during the past five years included serving as Chief Financial Officer (CFO) for high-growth technology companies, including Ripple Labs (digital asset and payments technology), PayNearMe (digital payment solutions), and Wrapbook (a payroll and spend management platform). In these CFO roles, she had direct oversight of accounting, financial planning and analysis (FP&A), tax, treasury, risk and compliance, and external audits. Notably, as CFO of Ripple, she was responsible for building the company's first formal financial risk function, implementing treasury governance covering both the company’s fiat treasury and its XRP treasury (tens of billions of token), and leading engagement with auditors on the evolving accounting treatment for digital assets.

None of these organizations are a parent, subsidiary, or other affiliate of the Company. Ms. Campbell has held no other directorships in any company with a class of securities registered under Section 12 of the Exchange Act or subject to the requirements of Section 15(d) of such Act during the past five years.
